Helena Nathanson
Partner
Helena has extensive experience in structured finance. Having done ABCP, MTNs, RMBS and CMBS for numerous arrangers up until the collapse of Lehman Brothers in 2008, for a few years thereafter her practice focused almost exclusively on the trustee, loan and agency side of structured finance work. Today, Helena’s practice is a comfortable mix of both arranger and trustee representations, depending on numerous factors, not least of all the state of the economy.
Helena was a junior associate at US firm Cadwalader Wickersham & Taft, and from there moved to the then Berwin Leighton Paisner. Helena was part of a team move to Reed Smith where she became a Partner. Most recently, Helena was at Greenberg Traurig.
Helena has represented virtually all of the corporate trustee houses in the City (as well as many of their US counterparts) in connection with a variety of transactions, including high-yield bond issuances, exchange traded products platforms, asset-backed commercial paper programmes, structured loan note programmes and many defaulting securitisations with varying underlying assets. She also has substantial experience in representing trustees and security agents in connection with various restructurings, schemes of arrangement (some with simultaneous Chapter 15 arrangements) and default administration. In addition, Helena has been involved in sales and purchases of defaulting loan portfolios (including shipping loans), replacement of transaction parties connected therewith and ultimate securitisation of the same. On the arranger side, Helena has a particular expertise in listed and unlisted, multi-currency and asset medium term note programmes.
