David is a highly experienced solicitor specialising in structured finance, derivatives, and regulation, with over 20 years’ of experience in London and New York. His career spans both private practice and in-house roles, focusing on structured transactions and legal risk management.
David began his career at Cadwalader (London and New York) and later worked as a Senior Associate at King & Wood Mallesons (formerly SJ Berwin). His expertise includes: Asset-backed securities (both funded and synthetic), repacks, certificate, note and warrant programmes, structured notes, commercial paper, and repo transactions, DCM offerings (Eurobond, private placement), warehousing non-performing loan portfolios, and derivatives (including loan-linked hedging). David has also advised on restructurings, both during the financial crisis and post-Lehman, including, CDOs, SIVs and default scenarios for swap counterparties.
Beyond transactional work, David has acquired valuable in-house experience having consulting roles at various banks. He advised on and managed legal risks associated with regulatory projects. He has helped steer several banks through transition initiatives, including EMIR margining, Brexit planning (including FSMA transfer schemes), and the LIBOR transition. He has worked on numerous banking products with a focus on derivative documentation.
David has represented clients globally, including issuers, sponsors, banks, and dealers, across the UK, US, Europe, and the UAE.
