In connection with public companies and investment funds, he advises on compliance, disclosure practices, governance, finance regulation and their legal and accounting staffing needs to meet legal duties and best practices associated with a public company. With established companies, he advises on restructurings, split-offs and spin-offs, refinancings, acquisitions, and special regulatory projects where outside counsel is brought in to assist internal counsel and the finance department in conducting audits and internal investigations. He also advises on consensual and contentious restructurings, including covenant resets, exchange offers, debt-equity swaps, rights offerings and negotiated refinancings, and he works with public companies managing disclosure and corporate governance in crisis situations.
He has worked with companies in a range of industries, notably in biotech and technology where IT and patents are important business and legal considerations; and in energy, mining, infrastructure and finance industries, where regulatory issues and complex debt solutions are important considerations.
He has a J.D in Law from New York University and a B.A. in Economics from the University of Hawaii. He is active with trade associations involving finance and investment funds in London.
Wayne is also active with pro bono matters and civic associations associated with cultural and historic preservation and is an avid art collector of the drawings of the old and modern masters.
