Eero Rautalahti is known for advising on complex and unusual transactions that require creativity and an ability to think outside the box. His experience includes acting as the lead lawyer in seven industry ‘firsts’, including an IPO priced via Dutch auction, an acquisition of a control stake in an AIM-listed company without a takeover bid and developing a novel IPO insurance.
He has 20 years’ experience as a corporate finance lawyer in the City of London. He moved to London from Finland in 1995 to join Allen & Overy, where he stayed until 2002. After that he spent 13 years heading the European capital markets practices for three leading U.S law firms.
Trained both in civil and common law and fluent in several languages, Eero regularly advises on cross-border transactions involving Northern Europe, the former Soviet Union and amongst others, Turkey, Spain and Portugal.
He has industry experience of several sectors, including mining, energy, commodities and agriculture, as well as high-tech industries. As a recognised expert in agriculture and food, Eero served from 2012-2015 as one of three co-chairs of Global Agri Forum, an off the record discussion forum for listed agricultural companies and their investors.
Since January 2017, Eero is also a non-executive member of the Board of Directors of FIT Biotech, a company admitted to trading at the Nasdaq-OMX First North.
Eero has advised on over 50 securities offerings in several jurisdictions, acting for both investment banks and issuers and/or selling shareholders. He has advised on IPOs on several markets, and is frequently called to the choice of listing venue.
He led the legal team in the first non-privatisation IPO from the former Soviet Union in 2004 (SAF Tehnika, listed at the Riga Stock Exchange in 2004 in a rule 144A offering). Eero was also responsible for advising the banks on the first European IPO priced via Dutch auction (2000), and most recently, he lead a team developing a new type of insurance to cover the liabilities that investment banks assume when they place an IPO to the market (2013-14).
Eero has advised on numerous securities offerings involving issuers in the Scandinavian countries, former Soviet Union, Eastern Europe and Turkey, as well as the UK and Canada.
M&A and corporate
Eero has advised on numerous major acquisitions and disposals in various countries.
His innovation in M&A transactions includes structuring the first acquisition of majority interest in an AIM-listed company without a takeover bid (2012) and the first reverse merger into a UK public limited company publicly traded on the Frankfurt Stock Exchange (2010) – the latter was followed by more than 50 similar transactions.
